1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Techify360 concerning your access to and use of our agency services, website, and digital properties. By engaging our services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service.

2. Services & No Guarantee of Results

Techify360 provides custom technology development, AI infrastructure deployment, and digital marketing services. While we employ industry best practices, we do not guarantee specific business outcomes, revenue increases, or search engine rankings resulting from our services. All digital marketing and AI model performance is subject to external market factors.

3. Intellectual Property Rights

Unless otherwise stated in a specific Master Services Agreement (MSA), Techify360 retains all proprietary rights, source code, and intellectual property developed during the term of service until full payment is received. Upon final payment, intellectual property rights transfer to the client as specified in the corresponding MSA.

4. Limitation of Liability

To the fullest extent permitted by law, in no event will Techify360, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or our services. Our maximum liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

5. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your breach of these Terms of Service or your violation of any rights of a third party.

6. Regulatory Compliance (Fintech & Healthcare)

Clients operating in highly regulated industries (such as Healthcare or Finance) are solely responsible for ensuring their use of Techify360's deliverables complies with all applicable Indian laws (e.g., the Information Technology Act, 2000, RBI guidelines for Fintech, DPDPA for health data). Techify360 builds secure infrastructure but is not liable for your regulatory compliance. If you require specific compliance architectures, a formal data processing agreement must be executed prior to any exchange of sensitive information.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Techify360 and you irrevocably consent that the courts of Gurugram, Haryana shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
